Terms of Service

1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your access to and use of the EliteSDR platform, website and related services (“Service”).
By creating an account, accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. About EliteSDR
EliteSDR is an AI-powered sales coaching platform designed to analyse sales conversations and generate coaching insights, performance reports and recommendations.
The Service is intended to assist sales coaching and development. It does not replace professional management, legal, compliance or business advice.
3. Eligibility
You must:
  • be at least 18 years of age;
  • have the legal capacity to enter into these Terms; and
  • use the Service only for lawful business purposes.
4. Account Registration
You are responsible for:
  • providing accurate account information;
  • maintaining the confidentiality of your login credentials;
  • all activity that occurs under your account; and
  • notifying us immediately of any unauthorised access or security breach.
We may suspend or terminate accounts that contain false information or are used in breach of these Terms.
5. Organisation Accounts
Where accounts are created for an organisation:
  • the organisation owns the workspace;
  • organisation administrators control user access and permissions;
  • administrators may add, remove or suspend users;
  • users may lose access if their organisation removes their account.
6. Subscription Plans
EliteSDR offers subscription plans which may include:
  • Free Trial
  • Monthly Subscription
  • Annual Subscription
  • Enterprise Plans
Features available depend on the selected subscription.
We may modify available plans and pricing from time to time.
7. Free Trials
Free trials may be offered at our discretion.
Unless otherwise stated:
  • no payment method is required;
  • trial access expires automatically;
  • trial features may be limited.
We reserve the right to withdraw or modify trial offers at any time.
8. Billing and Payments
Paid subscriptions are billed in advance.
Payments are processed securely through Stripe or another authorised payment provider.
You authorise us to charge all applicable subscription fees and taxes using your selected payment method.
Failure to successfully process payment may result in suspension of your account.
9. Renewals
Subscriptions automatically renew unless cancelled before the next billing date.
Renewal charges will be applied using your nominated payment method.
10. Cancellation
You may cancel your subscription at any time through your account settings.
Following cancellation:
  • no further subscription payments will be charged;
  • access continues until the end of the current billing period;
  • no partial refunds are provided unless required by law.
11. Refunds
Subscription fees are generally non-refundable.
Refunds may be provided where required under applicable consumer protection laws.
12. Customer Data
You retain ownership of all content uploaded to the Service, including:
  • recordings;
  • transcripts;
  • reports;
  • coaching history;
  • documents; and
  • other customer data.
You grant EliteSDR a limited licence to process this information solely for the purpose of providing the Service.
13. Recording Consent
You are solely responsible for ensuring that:
  • recordings are lawful;
  • all required consents have been obtained;
  • your organisation complies with applicable privacy laws;
  • uploaded content may legally be processed using AI services.
EliteSDR does not verify whether recordings have been lawfully obtained.
14. Acceptable Use
You agree not to:
  • use the Service for unlawful purposes;
  • upload malicious software;
  • attempt to gain unauthorised access;
  • interfere with the operation of the Service;
  • reverse engineer or attempt to copy the platform;
  • use the Service to violate another person’s rights;
  • upload content that infringes intellectual property rights.
We may suspend accounts engaged in prohibited activity.
15. Artificial Intelligence
EliteSDR uses artificial intelligence to generate:
  • transcripts;
  • coaching recommendations;
  • performance scoring;
  • summaries;
  • suggested improvements;
  • analytics.
AI-generated outputs may occasionally contain inaccuracies.
Users remain responsible for reviewing and verifying AI-generated recommendations before acting upon them.
16. Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability.
The Service may occasionally be unavailable due to:
  • maintenance;
  • upgrades;
  • security events;
  • infrastructure failures;
  • third-party outages.
17. Service Improvements
We continually improve EliteSDR and may:
  • add new features;
  • modify existing functionality;
  • discontinue features;
  • update the user interface;
  • improve AI models.
These improvements may occur without prior notice.
18. Intellectual Property
EliteSDR, including its software, branding, documentation, user interface and underlying technology, remains the exclusive property of Harasty Consulting or its licensors.
These Terms do not transfer ownership of any intellectual property rights.
19. Confidentiality
We recognise that customer recordings and reports may contain confidential business information.
We will take reasonable steps to protect customer confidential information and will not intentionally disclose it except:
  • as required to provide the Service;
  • where required by law; or
  • with your permission.
20. Privacy
Your use of EliteSDR is also governed by our Privacy Policy, which explains how personal information is collected, used and protected.
21. Suspension and Termination
We may suspend or terminate accounts where:
  • these Terms are breached;
  • payment remains outstanding;
  • unlawful activity is detected;
  • use presents a security risk;
  • continued access may harm the Service or other users.
Upon termination, your right to use the Service immediately ends.
22. Limitation of Liability
To the maximum extent permitted by law:
  • EliteSDR is provided on an “as is” and “as available” basis;
  • we make no guarantee regarding uninterrupted availability or error-free operation;
  • we do not guarantee sales results, increased revenue, improved conversion rates or business outcomes.
Our total liability arising out of or relating to the Service will not exceed the subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes rights that cannot legally be excluded.
23. Indemnity
You agree to indemnify and hold harmless Harasty Consulting from claims arising from:
  • your misuse of the Service;
  • unlawful recordings;
  • breach of these Terms;
  • infringement of another person’s rights;
  • content uploaded by your organisation.
24. Changes to these Terms
We may update these Terms from time to time.
Material changes will be published within the Service or on our website.
Continued use of EliteSDR after updated Terms become effective constitutes acceptance of the revised Terms.
25. Governing Law
These Terms are governed by the laws of Queensland, Australia.
Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
